By accessing or using Diwalex — including the marketing website at www.diwalex.com and the application at app.diwalex.com — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must stop using Diwalex immediately. Continued use after any change to the Terms constitutes acceptance of the updated Terms. The "By continuing" notice on the sign-in screen reinforces this agreement at the point of account creation.
2. Who We Are

3. Eligibility and Accounts
You must be at least eighteen (18) years of age, or have the consent and supervision of a parent or legal guardian, to use Diwalex. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into a binding agreement.
Access to the application requires a Google account. By authenticating with Google you also agree to Google's Terms of Service and Privacy Policy. You are responsible for maintaining the security of your Google account credentials and for all activities that occur through your Diwalex account. You may hold only one account per person; creating multiple accounts to circumvent limits or bans is prohibited. You must provide accurate information when prompted by the authentication flow.
4. Description of the Service
Diwalex is an AI-powered Philippine law research assistant. It searches a curated corpus of Philippine statutes, Supreme Court decisions, rules of court, and other Philippine legal materials, and also accepts user-uploaded reference files (DOCX and PDF). Diwalex returns answers with citations to assist with legal research. Two answer quality modes — Standard and Swift — are available depending on operator configuration.
Diwalex is a research tool only. It is not a law firm, a legal services provider, or a substitute for licensed legal counsel. See Section 6 below.
5. Not Legal Advice; No Attorney–Client Relationship
Nothing on Diwalex constitutes legal advice, legal representation, or the practice of law. Using Diwalex does not create an attorney–client, fiduciary, solicitor–client, or any other professional relationship between you and Diwalex, its operators, or any person affiliated with Diwalex.
Answers generated by Diwalex are AI-produced research outputs intended to help you locate and understand Philippine legal materials. They may be incomplete, outdated, or incorrect. For any matter that affects your legal rights, obligations, or liabilities, you must consult a licensed Philippine attorney.
6. Acceptable Use
You agree not to use Diwalex to:
- Violate any applicable law or regulation of the Philippines or any other jurisdiction;
- Upload, transmit, or share content that you do not have the right to share, including confidential information of third parties, privileged communications, or malicious software;
- Attempt to discover, extract, reproduce, or reverse-engineer the system prompts, model identities, training data, retrieval pipeline, or other trade-secret aspects of Diwalex through prompting or technical means;
- Scrape, systematically download, or reproduce Diwalex outputs at scale, or build a competing product using outputs derived from the Service;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Circumvent or attempt to circumvent authentication, rate limits, access controls, or other security measures;
- Harass, threaten, or harm any person;
- Use the Service for any unlawful, fraudulent, or harmful purpose.
We reserve the right to investigate and take appropriate action, including suspending or terminating access, for any violation of these restrictions.
7. User Content and Uploads
You may upload reference files (DOCX and PDF) to augment your research. You retain full ownership of your uploaded content. By uploading a file, you grant Diwalex a limited, non-exclusive, royalty-free license to store, process, index, and retrieve that content solely for the purpose of providing the Service to you. This license terminates when you delete the file or close your account.
You represent and warrant that: (a) you hold all necessary rights to upload and process the content; (b) your uploads do not infringe any intellectual property, privacy, or other rights of any third party; and (c) your uploads do not contain malware or harmful code.
Diwalex does not claim ownership of your uploads and will not use them for any purpose other than providing the Service to you.
8. Intellectual Property
The Diwalex name, logo, user interface design, and original software are owned by Diwalex and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, or create derivative works of any Diwalex-owned material without express written permission.
Diwalex's corpus consists of Philippine government-issued legal materials (statutes, decisions, rules) sourced from public repositories such as the Supreme Court eLibrary. These materials are public-domain works of the Philippine government and remain subject to any terms published by the original source. Diwalex does not claim copyright in government-issued legal texts.
AI-generated answers are research outputs produced on your behalf. Diwalex does not assert ownership of those outputs; however, such outputs may incorporate excerpts from copyright-protected materials, and you are responsible for compliance with applicable law when using or reproducing them.
9. AI Limitations and Accuracy
Diwalex uses artificial intelligence to generate answers. AI systems can produce responses that are incomplete, factually incorrect, inconsistent, or outdated. The Philippine statute and jurisprudence corpus may not reflect the most recent legislative amendments or Supreme Court decisions. You acknowledge these limitations and agree to independently verify any information before relying on it, particularly for legal, professional, or financial decisions.
The confidence indicators displayed in the application (Grounded, Inferred, Speculative) reflect the AI model's internal assessment of source support. They are research signals, not legal certainty, and should not be treated as warranties of accuracy.
10. Disclaimers of Warranties
To the fullest extent permitted by applicable Philippine law, Diwalex is provided "as is" and "as available" without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted availability. We do not warrant that the Service will be error-free or that defects will be corrected.
11. Limitation of Liability
To the fullest extent permitted by applicable Philippine law, Diwalex and its operators, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of or inability to use the Service, including loss of data, loss of revenue, or loss of business opportunity, even if advised of the possibility of such damages.
Our aggregate liability to you for any claim arising out of or related to these Terms or the Service is limited to the amount you paid to us for the Service in the twelve (12) months preceding the claim, or one hundred Philippine pesos (₱100.00), whichever is greater. Users on a free tier have not made any payment; in such cases aggregate liability is limited to ₱100.00.
12. Indemnification
You agree to indemnify, defend, and hold harmless Diwalex and its operators, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you upload or transmit through the Service.
13. Suspension and Termination
We may suspend or terminate your access to Diwalex at any time, with or without notice, for any violation of these Terms or for any other reason at our discretion, including cessation of the Service. You may stop using Diwalex at any time. Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 5, 8, 10, 11, 12, and 15) will survive.
14. Changes to These Terms
We may update these Terms at any time by posting a revised version at this URL. The "Last updated" date at the top of this page is authoritative. If a change is material, we may provide additional notice (such as by email or an in-app notice). Your continued use of Diwalex after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, stop using the Service.
15. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any dispute that cannot be resolved through good-faith negotiation shall be submitted to the exclusive jurisdiction of the appropriate courts of the Philippines.
